1. Agreement to these terms
These Terms of Service (the "Terms") govern your access to and use of metItem (the "Service"), operated by metItem ("we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. The Service
metItem is an inventory management product delivered as a web app at metitem.com and as mobile apps for iOS and Android. The Service lets you create inventories, track items and folders, scan barcodes, share access with teammates, and integrate with third-party tools.
3. Accounts
You need an account to use most of the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 13 years old (or the minimum age required in your country) to use the Service.
4. Subscriptions and billing
Paid plans are billed in advance on a recurring basis (monthly or annually). By starting a paid subscription, you authorize us (or our payment processor, such as Stripe or Apple App Store / Google Play) to charge your payment method at the start of each billing period until you cancel. You can cancel at any time from your account settings; cancellations take effect at the end of the current billing period.
Except where required by law, payments are non-refundable. Subscription prices may change with notice; if you do not agree with a price change, you can cancel before it takes effect.
5. Free plan and trials
The Free plan and any trial periods are provided as-is and may change or be discontinued at our discretion. Limits on items, seats, and features may apply.
6. Acceptable use
You agree not to use the Service to:
- violate any applicable law or regulation;
- infringe on the intellectual property or privacy of others;
- upload malware, attempt to interfere with the Service, or bypass rate limits or security measures;
- resell, sublicense, or otherwise commercialize the Service without our written permission;
- use the Service to store or transmit unlawful, harassing, or otherwise objectionable content.
7. Your content
You retain ownership of the data you submit to the Service (item names, codes, descriptions, images, and so on — "Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide the Service. We will not sell Your Content.
You are responsible for the legality of Your Content and for having the rights necessary to upload it.
8. Our intellectual property
The Service, including its software, design, logos, and content we provide, is owned by metItem and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
9. Third-party services
The Service uses or integrates with third-party services including Amazon Web Services (hosting and storage), Stripe (payments), RevenueCat (mobile subscriptions), Resend (email), Slack, Microsoft Teams, QuickBooks, and others. Your use of those services is governed by their own terms and privacy policies.
10. Disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including without limitation merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
11. Limitation of liability
To the maximum extent permitted by law, metItem and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months immediately preceding the claim.
12. Termination
You can stop using the Service at any time. We may suspend or terminate your account if you violate these Terms or for other legitimate reasons (for example, prolonged inactivity or a legal requirement). On termination, your right to use the Service ends; we will make reasonable efforts to let you export your data.
13. Governing law
These Terms are governed by the laws of British Columbia, Canada, without regard to its conflict of laws principles. You agree to the exclusive jurisdiction of the courts located in British Columbia, Canada for any dispute arising out of or relating to these Terms or the Service.
14. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will give you reasonable notice (for example, by email or by posting a notice in the Service). Your continued use of the Service after the changes take effect means you accept the updated Terms.
